MAIN RESPONSIBILITIES:

1. Legal and Corporate Governance:

• Initiate, maintain, and optimize internal legal processes to ensure accuracy, transparency, and efficiency in corporate governance.

• Convene and organize Board of Directors' meetings and General Shareholders’ Meetings; draft meeting minutes and resolutions in compliance with regulations.

• Draft, review, and manage contracts, agreements, and legal documents related to the company’s business activities.

• Systematically manage and store legal records, licenses, and other important documents.

2. Legal Compliance:

• Ensure full compliance with Vietnamese laws and the requirements of relevant regulatory authorities.

• Represent the company in dealings with, and maintain effective relationships with, competent state agencies.

• Support legal audits, due diligence, and reporting requirements from partners or regulatory bodies.

• Monitor and update legal changes that may affect the company’s operations, and provide appropriate recommendations and actions.

3. Digital Content Copyright and Infringement Handling:

• Monitor and handle copyright infringement related to content and products owned or produced by Galaxy Play.

• Coordinate with platforms, authorities, and partners to address pirated content on the internet.

• Work closely with content, production, and technology departments to ensure full compliance with copyright and content exploitation rights.

• Participate in negotiating, reviewing, and advising on legal terms in content copyright purchase/sale agreements, particularly with international partners (Hollywood, independent studios, etc.).

4. Business Support and Internal Legal Advisory:

• Provide legal counsel to departments regarding business strategy, products, marketing, human resources, and operations.

• Proactively identify potential legal risks in new projects and propose mitigation solutions.

• Guide and train management and staff on legal compliance, business ethics, data security, user privacy, and internal governance.

SKILLS AND EXPERIENCE

● Bachelor’s degree in Law; a Master’s degree in Business Law, Intellectual Property Law, or a Lawyer’s Practice Certificate is a strong advantage.

● At least 5 years of experience in a similar role within the media, digital content, technology, or entertainment industry.

● Solid knowledge of Intellectual Property Law, Enterprise Law, Labor Law, and regulations related to digital content distribution.

● Strong communication, negotiation, and problem-solving skills, with logical and strategic thinking.

● Proficient in English (spoken and written, including contract reading and drafting).

● Strong communication and negotiation skills.

● Ability to work independently and perform well under high pressure.

● Responsible and enthusiastic about work.
