*** POSITION PURPOSE
Responsibilities will encompass a wide range of the company's legal affairs, including commer-cial matters, financial and investment projects, FX regulations, regulatory compliance matters, HR matters, and corporate governance matters. The Group Legal Counsel will interact with sen-ior members of the company and a wide range of both Vietnamese and foreign employees, in-vestors and partners.

*** MAJOR TASKS
• Drafting and negotiating a variety of commercial contracts from investment/share pur-chase agreements to vendor and non-disclosure agreements to managing legal risk, litiga-tion, and employment issues, and ensuring the company’s investments are protected.
• Monitoring the execution of contracts/documents and implementation of the transac-tions/ investment projects.
• Support the Business Functions of the Group in designing, preparing, reviewing, provid-ing comments, and consultancy of agreements, contracts, and bonds, to ensure all these documents are in line with the prevailing laws of Vietnam and the Company’s regula-tions;
• Managing external counsel.
• Keeping abreast of changes in laws affecting the company and its investments.
• Giving legal advice with respect to corporate administration; preparing corporate docu-ments; anticipating and guarding against legal risks involving the company and its in-vestments.
• Studying proposed and existing legislation related to the operations of the company and advising management on the same.
• Represent the organization in legal proceedings before the courts, government agencies, or other authorities;
• Implementation of group guidelines, local law, and directives including training and in-formation activities
• May perform other duties and responsibilities as assigned
