Role: The Compliance & Ethics Officer (CE Officer) is a dedicated member of the Control Environment Committee (CEC), leading Speak Up investigations and representing the CEC. A primary duty is to establish 'adequate procedures' to prevent bribery and data privacy violations within SPVB, tailoring Suntory and PepsiCo's anti-bribery and corruption as well as data privacy policies to Vietnam's local context. The CE Officer also champions a Culture of Integrity and partners with all functions to embed compliance and ethics in daily operations, ensuring that the company and its employees conduct business in accordance with regulations and ethical standards.

Job Responsibilities

  • Support the Control Environment Committee in Speak-Up process and implementing its actions:
  • Monitor the Speak-up line, ensure the Speak-up line becomes efficient, reliable channel to enable employees, customers, and vendors to report any noncompliance without fear of retribution. Also educate employees to raise concerns to share their concerns or Speak out in the right channel.
  • Risk prevention, management, monitoring, detecting and dealing with misconduct or noncompliance
  • Review application form submitted by employees and determine whether to approve the application in relation to: 1) Business Partner’s Due Diligence, 2) Pre approval of Gift, meal, business entertainment, sponsored travel, 3) Donations, 4) M&A.
  • Implementing and operating retaliation-free reporting channels, including an anonymous telephone reporting system available to all employees, volunteers, customers, and vendors;
  • Ensuring that the internal controls are capable of preventing and detecting significant instances or patterns of illegal, unethical, or improper conduct by employees, agents, contractors, or others working with the organization;
  • Ensuring that the system has effective mechanisms to reasonably determine that persons either promoted to or hired in management and certain other sensitive and/or responsible positions (to be designated) do not have a propensity to violate federal or state laws and regulations or engage in improper or unethical conduct in their designated areas of responsibility;
  • Providing input and/or direction to human resources policies and procedures and the performance appraisal and incentive programs to ensure that improper conduct is discouraged and that support of any conformity with the compliance program is part of any performance evaluation process for all employees;
  • Coordinating as appropriate with legal counsel, conducting or authorizing and overseeing investigations of matters that merit investigation under the compliance program.
  • Overseeing follow-up and, as applicable, resolution to investigations and other issues generated by the compliance program, including development of corrective action plans, as needed;
  • Tracking all issues referred to the compliance office.
