Role: The Legal Counsel – Procurement & LDMS is responsible for serving as a legal business partner to the Procurement Department, overseeing the entire Company’s contract lifecycle management ("CLM") as the designated "Contract Compliance Champion" Responsibilities include ensuring full CLM compliance, offering legal advice to stakeholders, managing new projects, and leading legal technology initiatives to enhance the Legal team's efficiency and effectiveness.

Job Responsibilities

  • Legal Advisory
  • Act as the primary legal contact for Procurement nationwide, addressing operational and contractual matters across departments.
  • Provide strategic legal advice to ensure compliance with statutory legislation and internal policies, while driving optimal business decisions based on analysis and judgment.
  • Engage in negotiations with internal and external partners for issue resolution and special projects.
  • Conduct legal research and analysis to address operational facts and legal concerns.
  • Contractual Document Reviews
  • Lead legal document reviews for Procurement nationwide, ensuring compliance with statutory legislation and internal policies.
  • Engage in negotiations with internal and external partners to protect the company's interests.
  • Anticipate and mitigate potential legal issues.
  • Identify and communicate commercial/legal risks from contracts to stakeholders, proposing mitigation strategies.
  • Perform preliminary reviews of non-standardized contracts within specified authority levels.
  • Contract Life Cycle Management
  • Governing the entire Contract Life Cycle Management of the Company.
  • Identify, evaluate, and mitigate potential risks in the contractual process nationwide, including P2P standardization.
  • Streamline contract execution, reduce paperwork, and enhance control mechanisms.
  • Lead contract archiving and simplification efforts.
  • Standardize (local/global) contract templates and Terms and Conditions to minimize risks.
  • Provide training on contract implementation and guidelines.
  • Foster team morale and cross-functional cooperation.
  • Legal Automation
  • Identify manual processes that can be automated and explore/suggest enhancements aligned with the company's vision.
  • Explore chances to apply the latest technology into daily work for Legal Team or stakeholders to boost productivity and efficiency
  • Streamline processes, increase user convenience, eliminate redundancies, and enhance legal control mechanisms.
  • Collaborate with the IT team to transform manual processes into automated systems, conduct User Acceptance Testing (UAT) pre-implementation.
  • Provide training and guidance on new automation features
  • Maintain and improve the automated systems of the Company (LDMS, COUPA, etc).
  • Other Tasks as assigned by Line Manager

Education

Skills and Experience

  • Bachelor of Law and above
  • Lawyer certificate required is a plus
  • Foundation knowledge of the Common law system is highly preferre

Functional Expertise (experiences, Functional Skills)

  • Minimum 3 years of relevant experience, at least 01 year of experience in litigation procedure.
  • Strong knowledge and practicing experience in commercial law and civil law.
  • Ability to look at details while maintaining an overall view of a specific matter
  • Excellent sense of logical thinking
  • Strong project management, change management, time management skills
  • Excellent communication, negotiation, and presentation skills
  • Good teamwork and stakeholders’ service attitude
  • Proactive, able to work effectively in a team and independently under high pressure and tight deadline
  • Fluent in written and verbal English
