RESPONSIBILITIES:

As a Legal Manager, you will play a key role in overseeing the legal and compliance functions to support SmartOSC’s business activities across multiple markets. Your responsibilities include:

1- Legal Compliance & Risk Management

● Develop and implement internal policies, procedures, and compliance programs to align with Vietnamese and international laws.

● Identify potential legal risks in business operations and provide strategic recommendations to mitigate them.

● Ensure compliance with corporate governance, labor laws, data privacy regulations, intellectual property (IP) rights, and e-commerce laws.

● Liaise with regulatory authorities, ensuring timely submission of reports and legal documents.

2- Contract & Transaction Management

● Draft, review, negotiate, and manage various legal agreements, including:

○ Commercial contracts with clients and vendors

○ Service agreements

○ NDAs and data protection agreements

○ Employment contracts and policies

○ Partnership and licensing agreements

● Collaborate with internal stakeholders (Sales, HR, Finance, and IT teams) to align contract terms with business objectives.

● Maintain a contract repository and ensure consistency in legal documentation.

3- Dispute Resolution & Litigation

● Manage disputes, claims, and potential litigation involving the company.

● Work with external law firms on legal proceedings, ensuring SmartOSC's best interests are protected.

● Support internal teams in resolving conflicts with clients, vendors, or employees.

4- Legal Research & Advisory

● Stay updated on regulatory changes affecting the company’s operations across multiple markets (Vietnam, APAC, US, EU).

● Provide legal opinions and advisory services to senior management on new business models, cross-border transactions, and investment strategies.

● Conduct legal training and awareness sessions for employees.

5- Intellectual Property & Data Protection

● Ensure legal protection of trademarks, copyrights, patents, and proprietary technologies.

● Oversee compliance with data protection regulations (e.g., GDPR, PDPA, CCPA), ensuring security and lawful processing of personal data.

6- Team Leadership & Management

● Lead and mentor a team of 5 legal professionals, including training, performance evaluation, and career development.

● Assign tasks, monitor workload, and ensure the team meets deadlines on contract reviews, compliance matters, and legal advisory.

● Develop and implement best practices for an effective and efficient legal team

REQUIREMENTS:

●      Education: Bachelor's or Master’s degree in Law (Vietnam or international).

●      Professional Qualification: Must hold a Lawyer Practicing Certificate

●      Experience: Minimum 10 years of legal experience, preferably in the technology, e-commerce, IT, or corporate law sectors.

●      Legal Knowledge: Strong expertise in corporate law, commercial contracts, labor laws, intellectual property, and data privacy regulations.

●      Leadership Experience: Proven ability to lead and manage a team of legal professionals.

●      Excellent English skills (minimum IELTS 6.5 or equivalent).
