Job Purpose

The job holder responsible for:

Legal advice and support on related legal issues to ensure compliance with the law and in line with the Bank's business activities, protect the Bank's interests according to its functions;
Orientation, guidance, control, legal training for the staff within the scope of expertise of the unit
Manage the legal risk portfolio to ensure legal risks are identified and periodically reported on status.

Key Accountabilities (1)
Responsible for independent consulting on the field of work he is in charge of, including the following areas:

(*) Project legal advice:

Consulting, providing legal support, drafting and negotiating contracts and forms related to the general strategy of the whole company within the scope of the common project of the whole company,
Consulting, drafting contracts for procurement of capital construction investment, contracts for purchasing technology software in the field of IT, cooperation contracts between TCB and partners in general operations of the whole goods;
Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for TCB in project legal consulting activities;
Control the status, evaluate recommendations and report to the Head of legal counsel on the list of legal risks in banking activities in the activities under his responsibility for consulting;
Perform other tasks at the request of the leader to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.

(*) Management of litigation activities:

Participating in legal proceedings to protect the interests of the bank and its employees in non-business parts, not related to litigation and disputes over credit contracts and security contracts;
Representing the bank in settling disputes with related Parties;
General management of reported data, case status/dispute case of the whole goods
Other duties as assigned by the Legal Director.
Manage legal risk portfolio to ensure legal risks are identified and periodically reported on status in the litigation area
Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.

Key Accountabilities (2)
(*) Intellectual Property:

Consulting on identifying, providing solutions to handle legal risks, handling reputational and physical risks for TCB in the following areas: Intellectual property, industrial trademark protection of Techcombank, including participating in IP dispute resolution. ...
Join TCB's representative in resolving IP disputes
Cooperate, connect and manage affiliated law firms specializing in trademark and intellectual property registration for TCB.
Training and communicating to staff on general legal issues related to intellectual property;
Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.

(*) Legal management:

General advice and support on legal provisions related to TCB's business and administration activities (non-bussiness) in order to effectively manage risks and lead business and administration activities ;
Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for TCB in corporate governance activities:
Board of Directors, Supervisory Board, CEO, BOM, Internal Audit, organizational structure, charter, authorization, - Human resources, labor, salary, benefits, labor discipline
Finance, tax, accounting,
IT, technology systems, technology infrastructure, information security
System operation: Asset management, seals, records, archives,
Branch operation: organization, network operation, seals, representatives, licenses, vaults, ATMs, money transport, assets, etc.
Marketing, advertising, signboard activities
Contracts for centralized and non-centralized procurement of goods and outsourced services of the whole goods;
Insurance for operational risks of TCB;
Participating in consulting, drafting and legally controlling contracts and transactions between TCB and domestic and foreign partners within the scope of functions and duties (for non-business areas mentioned in Section 1 , 2 above);
Control the status, evaluate recommendations and report to the Director of legal counsel consultancy on the list of legal risks in banking activities;
Risk management of the entire legal consulting work: periodical inspection, professional exchange meetings with business legal departments; submit the legal advice to the Director for the final opinion in case there are different opinions between the business legal departments;
Advising and submitting to the top management for approval on the selection of a law firm to provide services to TCB;
Consulting and submitting to the leadership for approval of cooperation with notary offices; managing the cooperation with notary offices;
Training and communicating to staff on general legal issues;
Perform other tasks at the request of the leader to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.

Key Accountabilities (3)
(*) Consulting for business units

Directly advise and give independent legal opinions to business units and related units on the impact of legal regulations related to retail financial product and service solutions in order to ensure the objective of conducting business activities in accordance with the law, protecting the Bank's legitimate rights and interests to the fullest extent.
Review legal policies and the implementation of legal policies to ensure compliance with regulations on banking activities and laws.
Consulting on external legal documents, informing policy makers of business blocks to update when there is a change in legal regulations, ensuring that the regulations of the bank are applied. used in accordance with the instructions and regulations of the law and the communication/notification of the CA Division.
Participate in consulting/drafting legal documents at the request of the Board of Directors and business units;
Participate in consulting, drafting and legally controlling contracts and transactions with domestic and foreign partners within the scope of functions and tasks
Participate in the pre-litigation stage for business transactions to protect the interests of the bank and its employees.
Conduct training of relevant departments on legal issues
Strictly comply with the Bank's Labor Regulations.
Perform work in accordance with policies, regulations, processes, internal guidelines... and service quality commitments (SLAs).
Perform other related tasks at the request of the Director

Success Profile - Qualification and Experiences

Lịch sử thành lập

Năm 1993: Ngân hàng thương mại cổ phần Kỹ Thương Việt Nam (Techcombank) được thành lập tại Hà Nội với vốn điều lệ 20 tỷ đồng
Năm 1995: Tăng vốn điều lệ lên 51,495 tỷ đồng. Thành lập Chi nhánh Techcombank Hồ Chí Minh
Năm 1996: Thành lập Chi nhánh Techcombank Thăng Long cùng Phòng Giao dịch Nguyễn Chí Thanh tại Hà Nội. Thành lập Phòng Giao dịch Thắng Lợi trực thuộc Techcombank Hồ Chí Minh.Tăng vốn điều lệ tiếp tục lên 70 tỷ đồng.
Năm 1998: Trụ sở chính được chuyển sang Tòa nhà Techcombank, 15 Đào Duy Từ, Hà Nội. Thành lập Chi nhánh Techcombank Đà Nẵng tại Đà Nẵng.
Năm 1999: Tăng Techcombank tăng vốn điều lệ lên 80,020 tỷ đồng. Khai trương Phòng giao dịch số 3 tại phố Khâm Thiên, Hà Nội.
Năm 2000: Thành lập Phòng Giao dịch Thái Hà tại Hà Nội. Tăng vốn điều lệ lên: 102,345 tỷ đồng
Năm 2002: Thành lập Chi nhánh Chương Dương, Chi nhánh Hoàn Kiếm tại Hà Nội và các chi nhánh tại Hải Phòng, Đà Nẵng, Thành phố Hồ Chí Minh. Tăng vốn điều lệ lên 104,435 tỷ đồng
Năm 2003: Chính thức phát hành thẻ thanh toán F@stAccess-Connect 24 (hợp tác với Vietcombank) vào ngày 05/12/2003
Năm 2004: Khai trương biểu tượng mới của Ngân hàng
Năm 2005: Thành lập các chi nhánh cấp 1 tại: Lào Cai, Hưng Yên, Vĩnh Phúc, Bắc Ninh, T.P Nha Trang (tỉnh Khánh Hòa), Vũng Tàu..
Năm 2006: Thẻ thanh toán quốc tế Techcombank Visa được ra mắt
